DFSA vs DIFCA: Choosing the Right DIFC Path
DIFC operates a dual regulatory system. If your business deals in banking, investment management, insurance, or financial advisory, you’ll need a Financial Services Licence, regulated by the Dubai Financial Services Authority (DFSA). These licences are divided into categories, from Category 1 for full-scale banking through to Category 4 for lower-risk advisory activities, each with its own capital and compliance requirements.
If your business doesn’t touch client money, investments, or insurance, you’ll likely fall under the Non-Financial Services Licence instead, registered directly with the DIFC Authority (DIFCA) without needing DFSA approval. This covers management consultancy, legal services, accounting, HR, and technology development. We help you map your actual business activities to the correct licensing path before you apply.
Requirements for DIFC Company Registration
Setting up a company in DIFC requires a defined set of documents:
- Passport copies of shareholders
- Passport copy and CV of the manager
- Personal information sheet for each shareholder and manager
- Proof of trade name reservation
- Proof of initial approval for the intended activity
- Notarized Memorandum of Association (MOA) and Articles of Association (AOA)
- Notarized and attested Power of Attorney appointing your consultant as legal representative
- Lease agreement for a registered office within DIFC, which is mandatory for all DIFC entities
For corporate shareholders, additional documents apply: a board resolution expressing intent to establish a UAE entity, a certificate of registration or incorporation, and the parent company’s MOA and AOA, all attested by the UAE Embassy at the place of origin.
Certain activities, such as healthcare, legal services, education, or engineering consultancy, require no-objection certificates or additional permissions before approval.
Process of DIFC Company Formation
- Determine your business activity. This decides whether you need DFSA authorization or a DIFCA-registered non-financial licence.
- Choose your legal structure. Select the entity type that fits your ownership and operational plans.
- Reserve your trade name. Confirm your company name meets DIFC’s naming rules and is available.
- Prepare and submit your documents. Provide shareholder, manager, and, where applicable, corporate documentation.
- Obtain DFSA authorization, if required. Regulated financial activities need DFSA approval before a licence can be issued.
- Secure your DIFC office. A registered office within DIFC is mandatory for all entities.
- Receive your licence. Once approved, DIFCA or the DFSA issues your operating licence.
- Apply for visas. Process residence visas for shareholders, managers, and employees.
Non-financial business registration typically takes a few weeks, while DFSA-regulated financial businesses require additional time for regulatory approval.
